Welcome to Inventorly! These Terms of Service ("Terms") govern your access to and use of the website located at inventorly.io (the "Site") and any related services, features, or content we offer (collectively, the "Services"), operated by Inventorly ("Inventorly," "we," "us," or "our").

By accessing or using the Site, joining our waitlist, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Who We Are

Inventorly is an AI-powered inventory tracking tool designed to help you log, organize, and locate your inventory — including a photo-to-log feature that uses AI to help identify and catalog items from photos. Inventorly is built for anyone managing physical inventory, across any industry.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Site or Services. By using the Site, you represent that you meet these requirements.

3. The Waitlist and Pre-Launch Status

Inventorly is currently in a pre-launch phase. By submitting your email or joining the Founding-100 waitlist, you acknowledge that:

  • The product is under active development, and features, pricing, timelines, and availability may change;
  • Joining the waitlist does not guarantee access to the Services, a particular launch date, or any specific pricing or perks, though we intend to honor any Founding-100 offers as communicated to you at signup;
  • We may contact you via the email address you provide with updates, launch announcements, and related communications, consistent with our Privacy Policy.

4. Accounts (Once Available)

When account creation becomes available, you agree to:

  • Provide accurate and complete information when creating an account;
  • Keep your login credentials confidential and secure;
  • Notify us promptly of any unauthorized use of your account;
  • Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

5. Acceptable Use

You agree not to:

  • Use the Site or Services for any unlawful purpose or in violation of these Terms;
  • Upload content you do not have the right to upload, including photos containing identifiable people without their consent, or copyrighted material belonging to others;
  • Attempt to reverse-engineer, scrape, or interfere with the Site, Services, or underlying AI systems;
  • Use automated means (bots, scrapers) to access the Site without our prior written consent;
  • Misrepresent your identity or affiliation, or impersonate any person or entity;
  • Upload malicious code or otherwise attempt to disrupt or compromise the security of the Site.

We reserve the right to remove content or restrict access for anyone who violates these Terms.

6. Your Content

"Your Content" means any photos, inventory data, descriptions, or other materials you upload or submit through the Services.

  • Ownership: You retain ownership of Your Content.
  • License to Us: By submitting Your Content, you grant Inventorly a non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely as necessary to operate and improve the Services (including AI-based photo processing described in our Privacy Policy).
  • Your Responsibility: You are solely responsible for Your Content and confirm you have the necessary rights to upload it.

7. AI-Powered Features

Inventorly's photo-to-log feature uses AI/machine learning to help identify and categorize inventory items from photos. You acknowledge that:

  • AI-generated identifications, categorizations, or suggestions may occasionally be inaccurate or incomplete, and you are responsible for reviewing and confirming logged inventory information;
  • We continually work to improve accuracy but do not guarantee the AI features will be error-free;
  • You should not rely solely on AI-generated output for critical business, financial, or legal decisions without independent verification.

8. Intellectual Property

The Site, Services, and all associated content, features, branding, and technology (excluding Your Content) are owned by Inventorly or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written permission.

9. Fees (Future Paid Services)

The Site currently offers waitlist signup at no cost. If and when Inventorly introduces paid plans or subscriptions, additional terms regarding pricing, billing, and cancellation will be presented to you at that time and will supplement these Terms.

10. Third-Party Services

The Services may rely on or integrate with third-party tools (such as analytics, email delivery, or AI processing providers) as described in our Privacy Policy. We are not responsible for the practices or availability of third-party services outside our control.

11. Disclaimers

The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site or Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law, Inventorly and its founders, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business arising out of or related to your use of the Site or Services, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Services will not exceed the greater of (a) the amount you paid us, if any, in the 12 months preceding the claim, or (b) $100.

13. Indemnification

You agree to indemnify and hold harmless Inventorly and its founders, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, Your Content, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to Inventorly or other users. You may stop using the Services and request removal from our waitlist or account system at any time by contacting us.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last Updated" date. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

17. Dispute Resolution

Any dispute arising from these Terms or the Services will first be addressed through informal negotiation. If unresolved within 30 days, the dispute will be resolved in the state or federal courts located in King County, Washington (Seattle), and you consent to personal jurisdiction there.

18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Inventorly regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
  • No Waiver: Our failure to enforce any right or provision will not be considered a waiver of those rights.
  • Assignment: You may not assign these Terms without our prior written consent; we may assign them freely in connection with a merger, acquisition, or sale of assets.
